Terms of Service

1. Acceptance and eligibility

You must be at least 18 years old, have legal capacity to enter a binding agreement, and use Operator for lawful business purposes. If you use Operator for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Operator is the public product and service name. It is currently operated by Maximus Sidoti as an individual sole proprietor, without a separate LLC, corporation, or other legal entity. These Terms are between you and Maximus Sidoti in that individual sole-proprietor capacity.

2. The Operator service

Operator is an assistive Gmail follow-up workspace. With your authorization, it retrieves recent Gmail conversations, identifies possible sales or revenue follow-ups, explains why a conversation may need attention, prepares a suggested subject and message, and lets you manage, edit, snooze, dismiss, resolve, or approve an opportunity.

Operator uses deterministic software and AI service providers. Classifications, customer identification, timing, subjects, and drafts may be incomplete, delayed, or incorrect. Operator is not a CRM system of record and does not guarantee that every opportunity will be detected or that every suggestion is appropriate.

3. Account responsibilities

You are responsible for:

• providing accurate account information and keeping it current;
• maintaining the confidentiality and security of your login and devices;
• promptly reporting suspected unauthorized access;
• all activity performed through your account;
• ensuring you have authority to connect the Gmail or Google Workspace account and process the conversations it contains; and
• obtaining any notices, permissions, or consents required for your business communications and use of personal information.

Operator V1 is designed for one authenticated owner and one connected Gmail or Google Workspace inbox. Do not share credentials or use one account as an unapproved multi-user workspace.

4. Gmail connection and human approval

Connecting Gmail authorizes Operator to use the gmail.readonly and gmail.send scopes for the features described in the Privacy Policy. You must comply with Google's applicable terms and policies and may disconnect Gmail at any time in Settings.

Operator never autonomously sends customer email. The first “Approve & Send” action only opens a confirmation and sends nothing. The separate final approval step invokes Gmail send only after you review the authoritative recipient, subject, and message and choose the final “Send Email” action. Operator also rechecks account ownership, permission, recipient, current Gmail thread fingerprint, reply threading, and send idempotency before sending.

You are solely responsible for the recipient and content you approve, the decision to send, and compliance with anti-spam, marketing, privacy, consumer-protection, professional, and other laws applicable to the communication. You must review AI-generated text for accuracy, suitability, confidentiality, and legal compliance before sending.

5. Acceptable use

You may not use Operator to:

• violate law, regulation, court order, or another person's rights;
• access or connect an account, mailbox, or data without authorization;
• send spam, unsolicited bulk commercial email, harassment, threats, fraud, phishing, malware, or deceptive content;
• evade Google safeguards, Gmail limits, provider policies, or Operator safety and approval controls;
• probe, disrupt, overload, reverse engineer, scrape, or gain unauthorized access to the service;
• upload or transmit content you do not have the right to process;
• resell, sublicense, or provide shared access except under a separate written agreement; or
• use Operator or Google user data for surveillance, advertising profiles, creditworthiness, or AI model training.

Operator may investigate suspected abuse and restrict access where reasonably necessary to protect users, providers, or the service.

6. Subscriptions, billing, and cancellation

Operator's implemented paid plan is a recurring monthly subscription billed in U.S. dollars through Stripe. The current price and renewal terms are shown on the Operator site and again in Stripe Checkout before purchase. By subscribing, you authorize Stripe to charge the payment method associated with your Stripe customer for recurring fees until cancellation takes effect.

You can manage payment details and schedule cancellation through the Stripe Customer Portal opened from Settings. When Stripe schedules cancellation for the end of a paid period, Operator access continues through the applicable period end. Payment failure can result in a limited grace period and then loss of paid access without deleting Gmail connection or saved opportunities.

Deleting an Operator account is different from a normal end-of-period cancellation: the deletion workflow expires open Checkout sessions and cancels nonterminal Operator subscriptions without a final invoice or proration before removing the account. If that billing cleanup cannot complete, account deletion fails closed. Stripe may retain financial and transaction records under its own obligations.

Monthly subscription payments are non-refundable except where required by law. You may cancel at any time; cancellation prevents future renewal, and access continues through the end of the then-current paid billing period unless otherwise required by law.

7. Intellectual property and customer content

Maximus Sidoti and applicable licensors retain all rights in the Operator service, software, interface, branding, documentation, and underlying technology. Subject to these Terms and payment of applicable fees, you receive a limited, nonexclusive, nontransferable, revocable right to use Operator for your internal business purposes.

You retain your rights in Gmail content, business information, and edits you provide. You grant Maximus Sidoti and Operator's service providers a limited right to host, process, transmit, and display that content only as needed to provide, secure, support, and improve Operator's user-facing functionality, comply with law, and enforce these Terms. This license does not permit selling Google user data, advertising use, or general-purpose AI model training.

Suggested drafts and classifications are generated from your content and may not be unique. To the extent Maximus Sidoti has rights in a draft generated specifically for you, he permits you to use and edit it, subject to your responsibility to review it and to any rights of others in the underlying content.

8. Third-party services

Operator depends on Google/Gmail, Supabase, OpenAI, Vercel, Stripe, and Resend. Your use of those services can also be governed by their terms and privacy policies. Operator is not responsible for a third-party provider's independent service, outage, quota, suspension, policy change, or records, but Operator remains responsible for its own commitments regarding Google user data.

9. Service availability and changes

Maximus Sidoti may maintain, modify, add, limit, suspend, or discontinue Operator features. The service may be interrupted by maintenance, provider outages, Gmail authorization changes, API limits, network failures, security events, or circumstances outside his reasonable control. Where reasonably practicable, notice will be provided of material changes that significantly reduce a paid service.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERATOR IS PROVIDED “AS IS” AND “AS AVAILABLE.” MAXIMUS SIDOTI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HE DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT EVERY FOLLOW-UP WILL BE FOUND, THAT AN AI OUTPUT WILL BE ACCURATE OR SUITABLE, OR THAT USE OF A DRAFT WILL PRODUCE A SALE OR OTHER RESULT. RIGHTS THAT CANNOT LAWFULLY BE DISCLAIMED ARE NOT AFFECTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXIMUS SIDOTI AND OPERATOR'S LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXIMUS SIDOTI'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR OPERATOR DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100. These limits do not apply where prohibited by law.

12. Suspension, termination, and account deletion

You may disconnect Gmail or delete the Operator account through Settings. Maximus Sidoti may suspend or terminate access for material breach, unlawful or abusive use, security risk, nonpayment, provider requirements, or legal compliance. Where appropriate, he may provide notice and an opportunity to cure.

Account deletion follows the process described in the Privacy Policy and Data deletion instructions. Provisions that by their nature should survive—such as payment obligations, intellectual property, disclaimers, liability limits, and dispute terms—survive termination.

13. Changes to these Terms

Maximus Sidoti may update these Terms. The updated date will change, and material changes will be communicated as required by law. Continued use after revised Terms take effect constitutes acceptance where permitted; if you do not agree, stop using Operator and cancel or delete the account.

14. Governing law and contact

These Terms and any dispute arising from or relating to them or the Operator service are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles. Subject to applicable law, legal proceedings must be brought in a court of competent jurisdiction located in New Jersey, and the parties consent to the jurisdiction and venue of those courts.
